ENFORCEMENT OF TERMS AND CONDITIONS
YOU AGREE THAT ANY AND ALL TRANSACTIONS WITH MATRIX IMPORTS, WHETHER ARISING OUT OF MATRIX IMPORTS’ WEBSITE OR OTHERWISE, SHALL BE SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS, AS WELL AS ALL APPLICABLE LAWS, AS GOVERNED AND INTERPRETED PURSUANT TO THE LAWS OF THE STATE OF FLORIDA, UNITED STATES OF AMERICA.

ANY TAMPERING, MISUSE OR NEGLIGENCE IN THE HANDLING, STORAGE, OR ASSEMBLY OF ANY FURNITURE OR PARTS PURCHASED OR OBTAINED THROUGH MATRIX IMPORTS RENDERS ALL WARRANTIES VOID. MATRIX IMPORTS SHALL BE HELD HARMLESS FOR ANY INJURY OR DAMAGES INCURRED IN THE EVENT ANY SUCH FURNITURE OR PARTS HAVE BEEN THE SUBJECT OF ANY TAMPERING, MISUSE OR NEGLIGENCE IN CONNECTION WITH THEIR HANDLING, STORAGE AND/OR ASSEMBLY.

We also reserve the right to limit quantities (including after you have submitted your order). The risk of loss and title to items purchased from Matrix Imports pass to the purchaser upon delivery to the carrier.
Choice of Law:
All contracts, agreements and/or transactions with Matrix Imports shall be governed and construed in accordance with the laws of Florida. All claims relating to or arising out of any such contracts or transactions, or the breach thereof, whether sounding in contract, tort or otherwise, shall likewise be governed by the laws of Florida.
Any controversy or claim arising out of or relating to any contracts or transactions with Matrix Imports, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association (AAA) or other arbitral body mutually agreed upon by the parties. The arbitration hearing shall take place in Fort Lauderdale, Florida. No demand for arbitration may be made after the date when the institution of legal or equitable proceedings based on such claim or dispute would be barred by the applicable statute of limitation. The arbitrator(s) shall not be authorized to award punitive or other damages not measured by the prevailing party’s actual damages. Each party shall bear its own costs, attorney’s fees and expenses of arbitration. The arbitration proceedings and arbitration award shall be maintained by the parties as strictly confidential, except as is otherwise required by court order or as is necessary to confirm, vacate or enforce the award and for disclosure in confidence to the parties’ respective attorneys, tax advisors and senior management and to family members of a party who is an individual.
